1. Purpose
The Cototina Promoter Program may provide approved promoters with access to information and materials that are not public. This agreement defines how that confidential information may be used.
2. Confidential Information
Confidential information may include non-public program procedures, internal communications, unreleased campaign materials, private training resources, future features, promoter-only documents, internal strategy, commission administration details, unpublished product or campaign information, security information, access credentials and other information clearly intended to remain private.
3. What Is Not Confidential
Information is not confidential solely because it relates to Cototina. Information that Cototina has already made public, information independently developed without use of confidential material, or information lawfully received from another source without confidentiality restrictions is not covered in the same way.
4. Permitted Use
Confidential information may be used only as reasonably necessary to participate in and promote Cototina through the promoter program. Approved public marketing assets may be shared with customers and audiences as intended.
5. Prohibited Disclosure
Promoters may not publish, sell, forward, leak, reproduce for unrelated use, provide to competitors, or otherwise disclose confidential program information without authorization. Screenshots or exports from private dashboards, internal chats, training areas or unpublished resources should not be shared publicly unless Cototina has expressly approved that use.
6. Credentials & Access
Account credentials, security codes and private access links must not be shared. Promoters should promptly notify Cototina through official channels if they believe their account or confidential information has been compromised.
7. Promotional Materials
Materials specifically marked or presented as approved for public promotion may be used for Cototina marketing in accordance with brand instructions. Unreleased drafts, internal planning materials and promoter-only resources remain confidential until Cototina makes them public or authorizes their release.
8. Internal Communications
Private communications between Cototina and promoters, including operational instructions, individual account matters and internal support messages, should be treated as confidential when their nature or context indicates they are not intended for public distribution.
9. Duration
Confidentiality obligations continue for as long as the information remains non-public and commercially or operationally sensitive, even if participation in the promoter program ends, unless Cototina releases the information or applicable law requires disclosure.
10. Required Disclosure
If disclosure is required by law or valid legal process, the promoter should disclose only what is legally required and, where lawful and practicable, notify Cototina so it can respond appropriately.
11. Violations
Serious or repeated confidentiality violations may result in restricted access, suspension or termination from the promoter program and other remedies available under applicable law.
12. Acceptance
Checking the confidentiality acceptance box in the promoter application records the applicant's electronic acknowledgement of this agreement as part of the application process.
